BossCE Partner Agreement

This Agreement is between Boss Clinical Education (BossCE AI) (“BossCE”, “we”, “us”) and the organisation that applies through the BossCE Partner Sign-Up (“Partner”, “you”). You accept it by ticking the agreement box when you apply. It applies together with our Terms of Use and Privacy Policy.

1. What the Partnership Includes

• Placements: your logo appears in the placements of the package you choose (footer logo row, home page strip, BossCE AI page strip and/or BossCE AI wait card), as described on the sign-up page and in your Partner Portal.
• Labelling: sponsor logos are labelled “Supported by”; academic and professional partners are labelled “Academic & Professional Partners”.
• Reporting: views and clicks per placement in the Partner Portal, plus a monthly report by email. Counts exclude BossCE staff and automated traffic and are measured in good faith; they are not audited.
• Share of rotation: where several partners share a placement, logos rotate according to the share in your package. We do not guarantee a minimum number of views or clicks.
• Founding Partner extras: category exclusivity among Founding Partners for the paid term, one partner webinar promoted per quarter, and the right to submit Library Partner documents for independent review.

2. Editorial Independence

• Partners cannot influence, rank, edit, sponsor or review BossCE AI’s answers, the BossCE Library, articles or any clinical content.
• Partner logos never appear inside an answer, and an answer never mentions a partner because of the partnership.
• Documents a partner submits to the BossCE Library go through the same independent review as any other source. Approval is not guaranteed and is not part of the fee.
• BossCE does not share individual users’ identities, questions or personal data with partners. Reports are aggregated.

3. Application and Approval

• Every application is reviewed. We may decline any application, including on grounds of fit with our audience, clinical standards or reputation, without giving reasons.
• Your partnership starts when your application is approved and the first invoice is paid. Your logo goes live on your chosen start date or the date of payment, whichever is later.
• Founding rates apply to the first paying partners, as shown on the sign-up page, and are fixed for the first 12 months.

4. Fees, Invoices and Payment

• Billing: monthly, quarterly or annual (12 months for the price of 10), as chosen at sign-up. Fees are in Malaysian Ringgit (RM).
• Invoices: issued by Boss Clinical Education (BossCE AI) by email and in the Partner Portal. Renewal invoices are issued 14 days before each period begins.
• Payment: due 14 days from the invoice date, online by card (and FPX online banking where offered) through our payment processor, Stripe. Receipts are issued automatically on payment.
• Late payment: we send reminders on the due date and 7 days later. If an invoice is unpaid 14 days after its due date and your paid period has ended, your logo is paused until payment is received. A paused period is not credited.
• Taxes: fees exclude any applicable taxes. If a tax such as Service Tax applies to our services, it will be added to the invoice as required by law.
• Price changes: we may change standard rates for future periods with at least 30 days’ notice. Founding rates are not changed during their 12-month term.

5. Term, Renewal and Cancellation

• Minimum term: 3 months from the date your logo first goes live.
• Renewal: your partnership renews automatically for the same billing period until cancelled.
• Cancelling: you can cancel renewal at any time in the Partner Portal. Your logo stays live until the end of the paid period, or the end of the minimum term if later, and invoices within the minimum term remain payable.
• Refunds: fees for a period that has started are not refundable, except where we end the partnership without cause (clause 8), in which case we refund the unused part of the paid period pro rata.

6. Your Logo, Link and Content

• Licence: you grant BossCE a non-exclusive, royalty-free licence to display your name, logo, link and wait card line in the agreed placements, in partner reports and in a list of current partners, for the term of the partnership.
• Your rights: you confirm you own or are licensed to use everything you submit and that it does not infringe anyone’s rights.
• Standards: logos and lines must be accurate and professional, and must not make therapeutic, comparative or price claims, target patients or the public, or include patient information.
• Link destination: your link must go to a lawful, working page of your organisation. We may pause a placement whose link breaks or changes to unsuitable content.
• Changes: submit changes in the Partner Portal. They go live only after our review.

7. Compliance

• You are responsible for making sure your promotion complies with the laws and codes that apply to you, including where relevant the Medicines (Advertisement and Sale) Act 1956, the Medical Device Act 2012, the Personal Data Protection Act 2010 and any industry code your organisation follows.
• BossCE’s audience is healthcare professionals. Placements must not be used to promote prescription medicines or regulated products to the public.
• You will not offer BossCE users gifts, inducements or anything that would breach professional or anti-bribery rules, including the Malaysian Anti-Corruption Commission Act 2009.

8. Suspension and Termination

• We may pause or remove a placement immediately, without refund, if you breach this Agreement, if your content or link becomes unlawful, misleading or harmful, or if continuing would damage BossCE’s clinical independence or reputation. Where the breach can be fixed, we will tell you and give you a fair chance to fix it first.
• We may end a partnership without cause on 30 days’ notice, with a pro rata refund of any unused paid period.
• Either party may end the partnership if the other becomes insolvent or stops trading.

9. Liability

• Placements and reports are provided “as is”. We do not guarantee uninterrupted availability, audience size or commercial results.
• Neither party is liable for indirect or consequential loss, or loss of profit, revenue or goodwill.
• Our total liability under this Agreement is limited to the fees you paid in the 12 months before the claim.
• You will indemnify BossCE against third-party claims arising from content or links you supplied or from your breach of clause 7.
• Nothing in this Agreement limits liability that cannot be limited by law.

10. Confidentiality and Data

• Each party keeps the other’s non-public information confidential, including pricing negotiated outside the published rates and partner reports.
• We handle your contact and billing details under our Privacy Policy. Card details are handled by Stripe and are never stored by BossCE.

11. General

• Changes to this Agreement: we may update this Agreement. Changes apply from your next billing period, and we will email you at least 30 days before they take effect. Continuing after that date means you accept the change; otherwise you may cancel renewal.
• Notices: by email, to the address in your Partner Portal and to hi@bossce.com.
• Assignment: you may not transfer this Agreement without our written consent.
• Entire agreement: this Agreement, the package details on the sign-up page and our Terms of Use form the whole agreement between us about the partnership.
• Governing law: the laws of Malaysia. The courts of Malaysia have exclusive jurisdiction.
